1. Who these terms apply to
These terms apply when you create an account for, access, or use Jagger, a service operated by 2 & 5 PTY LTD, ABN 87 638 568 608. By signing up, you confirm that you have read and accept these terms.
2. What Jagger does
Jagger connects to MYOB AccountRight and helps you ask questions, prepare summaries and reports, create charts, schedule email reports, and preview selected MYOB workflows. Jagger is a business productivity tool. It is not accounting, tax, legal, financial, or professional advice.
3. Authority to connect data
You must only connect MYOB company files, accounts, and data that you are authorised to access and use. You are responsible for your users, account security, connected MYOB access, and the instructions given through your account.
4. Third-party processing
To provide the service, Jagger may send and receive data through third-party providers, including MYOB, AI model providers, Stripe, email delivery providers, hosting providers, logging, security, and infrastructure services. This may include prompts, uploaded files, MYOB records, customer and supplier information, invoice and quote data, report contents, chart data, and generated outputs.
Jagger currently uses third-party AI providers to interpret requests and generate responses. We do not use customer data to train AI models, and we use business/API services under which customer data is not used to train the providers' AI models. Data sent to those providers may still be processed and retained as necessary to provide, secure, monitor, and comply with legal obligations relating to those services. You should not enter information that you are not authorised to disclose to those providers.
5. Accuracy and review
AI-generated answers can be incomplete, delayed, or wrong. MYOB data can also be incomplete, out of date, or affected by configuration choices such as accrual/cash basis, GST settings, date ranges, and company-file permissions. You must review outputs before relying on them or sending them to others.
6. Actions in MYOB
Where Jagger supports creating, updating, or drafting MYOB records, you are responsible for checking the preview, confirming the action, and verifying the result in MYOB. AI-assisted actions may cause unintended changes in MYOB, including incorrect records, overwritten information, deleted records, duplicate records, or other data loss. Do not use Jagger for actions that you are not authorised to perform.
7. AI outputs, system failures, and data loss
Jagger uses AI systems that can misunderstand requests, make incorrect assumptions, omit relevant information, produce inaccurate calculations, create incorrect summaries, charts, reports, drafts, or suggested MYOB payloads, or otherwise generate outputs that are wrong or unsuitable for your purpose. You remain responsible for reviewing outputs and deciding whether to rely on them.
Where Jagger performs or helps perform actions, those actions are based on instructions given through your account and any confirmation you provide. To the extent permitted by law, we are not responsible for loss caused by unreviewed outputs, incorrect instructions, AI-generated recommendations, confirmed actions, unintended MYOB changes or deletions, or failure to detect an error before relying on an output or action.
You are responsible for keeping your own records, backups, exports, and source data in MYOB and any other systems you use. Jagger is not a system of record or backup service. To the extent permitted by law, we are not liable for data loss, data corruption, delay, interruption, unavailability, failed integrations, API outages, third-party provider failures, bugs, security incidents, maintenance, or other system failures.
8. Subscriptions and billing
New customers may be offered a 7-day free trial. A valid payment method is required. Unless you cancel before the trial ends, your selected paid subscription starts automatically at the end of the trial and renews according to the billing interval shown at checkout. You can cancel through the Stripe billing portal before the trial ends to avoid the first charge.
Paid subscriptions are processed by Stripe. Prices are shown during signup and may include GST where stated. Stripe may collect and process payment, billing, tax, and card information under its own terms.
9. Token limits and fair use
Jagger uses third-party AI services that charge by usage, including tokens processed for prompts, uploaded files, MYOB data, reports, charts, and generated outputs. Your subscription includes reasonable use for normal business workflows, but it is not an unlimited high-volume AI processing plan.
We may apply, change, or enforce usage limits, token limits, request limits, report limits, rate limits, or fair-use thresholds to protect service performance and keep pricing sustainable. If usage is excessive, automated, abusive, unusually expensive, or materially higher than normal use for the plan, we may throttle requests, pause access, ask you to reduce usage, require a different plan or commercial arrangement, or charge additional agreed fees.
Where practical, we will give reasonable notice before applying a material fair-use restriction to ordinary business use. We may act immediately where needed to protect the service, control unexpected third-party charges, prevent abuse, or avoid security, legal, or operational risk.
10. Acceptable use
You must not use Jagger to break the law, infringe rights, bypass security, access data without permission, send spam, create misleading records, or submit highly sensitive information unless you have confirmed it is appropriate for the service and its third-party processing.
11. Security and availability
We take reasonable steps to protect the service and connected data, but no system is perfectly secure or always available. You are responsible for keeping your login details safe and promptly telling us about suspected unauthorised access.
12. Confidentiality and privacy
We will use customer data to operate, support, secure, and improve Jagger, and to meet legal, billing, and compliance obligations. We will not use customer data to train AI models or permit our AI providers to use it to train their models. We will not sell your MYOB data. We may disclose data to service providers where needed to provide Jagger, or where required by law.
13. Limits of liability
To the extent permitted by law, Jagger is provided as is and as available. We are not liable for indirect loss, lost profit, lost revenue, lost data, data corruption, business interruption, service interruption, third-party service failure, or decisions made from unreviewed outputs. Nothing in these terms excludes rights that cannot be excluded under Australian Consumer Law.
14. Changes to these terms
We may update these terms as Jagger changes. If a change is material, we will take reasonable steps to notify users or require acceptance of the updated terms.
